1. About These Terms

These Terms of Use ("Terms") govern your access to and use of Hetuluka, including:

• Website and subdomains;

• Mobile and desktop applications;

• Learning Management System (LMS);

• Online courses;

• Live classes and batches;

• Recorded courses;

• Assessments and examinations;

• Mentorship and academic support;

• Certificates and verification services;

• Community features; and

• Other Hetuluka educational services.

The existing Terms similarly apply to the website, subdomains, applications, LMS and associated digital educational services.

By accessing, registering for, purchasing or using a Hetuluka service, you agree to these Terms and any applicable service-specific terms.

If you do not agree, you must not use the applicable service.

2. Eligibility

You may use Hetuluka only where legally permitted.

You must:

• Have legal capacity to enter into applicable agreements; or

• Where you are a minor, use the service with the required involvement and consent of a parent or legal guardian.

You must provide accurate information and keep it reasonably up to date.

Hetuluka may restrict access where required by law, safety considerations, payment restrictions, geographic restrictions, eligibility requirements or service-specific rules.

3. Parent & Guardian Responsibility

Where a minor uses Hetuluka, the parent or legal guardian may be responsible for:

• Providing required consent;

• Supervising use;

• Account security;

• Payment obligations;

• Recovery information;

• Compliance with these Terms;

• Appropriate use of services; and

• Addressing misuse under their supervision or control.

Payment by a parent/guardian does not automatically make the parent/guardian the owner of the student's account or learning record.

4. Accounts & Account Security

Some Hetuluka services require an account.

You are responsible for:

• Maintaining accurate account information;

• Protecting login credentials;

• Protecting authentication methods;

• Securing your device;

• Monitoring account activity; and

• Reporting suspected unauthorized access.

Accounts are individual and personal.

You must not:

• Share login credentials;

• Allow multiple people to use one account;

• Sell or rent account access;

• Transfer account access without authorization; or

• Circumvent access restrictions.

The existing Terms expressly prohibit account sharing and place responsibility for account credentials on the user.

5. Courses & Educational Services

Hetuluka may offer:

• Recorded courses;

• Live classes;

• Batches;

• Workshops;

• Assessments;

• Mentorship;

• Academic support;

• Subscriptions; and

• Other educational services.

Each service may have its own:

• Start/end dates;

• Access period;

• Eligibility;

• Seat limits;

• Schedule;

• Instructor/educator;

• Assessment requirements;

• Features; and

• Additional terms.

The terms displayed for the particular service at purchase or enrollment may apply to that service.

6. Course Access

Access depends on the applicable course or service.

Access may be:

• Immediate;

• Available from a batch start date;

• Time-limited;

• Subscription-based; or

• Otherwise restricted according to the applicable service terms.

Not every course will necessarily provide downloadable or offline content.

Where available, downloads or offline access may be subject to technical, security, copyright and course-specific restrictions.

There is no automatic promise of lifetime access unless expressly stated for the particular service.

7. Course Content & Changes

Hetuluka may reasonably:

• Update courses;

• Correct errors;

• Improve lessons;

• Change materials;

• Modify assessments;

• Change schedules;

• Change instructors/educators;

• Replace content;

• Add or remove features; or

• Archive or discontinue services.

Where a specific course or written agreement makes a particular commitment, that commitment may apply subject to applicable law.

Hetuluka does not guarantee that a course will always contain identical instructors, materials, schedules, technologies or features.

8. Educators & Instructors

Approved educators may, depending on their role:

• Create courses;

• Upload educational materials;

• Conduct live classes;

• Teach recorded lessons;

• Create assessments;

• Grade or review work;

• Mentor students;

• Provide recommendations; and

• Participate in certificate processes where authorized.

Educators may be required to satisfy verification or approval requirements.

Hetuluka may approve, reject, restrict, suspend or remove educators or their educational content for reasons including:

• Policy violations;

• Safety;

• Legal requirements;

• Quality concerns;

• Complaints;

• Misconduct;

• Academic-integrity concerns; or

• Operational reasons.

9. Educator Content Ownership

Unless a separate written agreement provides otherwise, educational content submitted by an educator for publication or use through Hetuluka is owned by Hetuluka, subject to applicable law.

Different ownership arrangements may apply to:

• Commissioned content;

• Employment-related content;

• Contracted projects;

• Partner/institutional content; or

• Other separately agreed arrangements.

Educators must have the necessary rights and permissions for material they provide.

Educators may not upload material that unlawfully infringes another person's rights.

10. User-Generated Content

Users may retain ownership of original content they create, except where a separate agreement or applicable law provides otherwise.

By submitting content to Hetuluka, you grant Hetuluka the rights reasonably necessary to:

• Host;

• Store;

• Process;

• Display;

• Reproduce;

• Transmit;

• Moderate;

• Secure; and

• Provide the relevant service.

You are responsible for ensuring that you have the rights and permissions required to submit the content.

11. Academic Integrity

Users must comply with applicable academic-integrity requirements.

Prohibited conduct may include:

• Plagiarism;

• Cheating;

• Falsifying academic work;

• Unauthorized collaboration;

• Impersonation;

• Unauthorized assistance;

• Misrepresenting another person's work as your own; and

• Other academic misconduct.

AI use may be permitted, restricted or prohibited depending on the applicable course or assessment.

Hetuluka may review academic-integrity concerns and may restrict results, certificates, course access or accounts where justified.

12. AI & Automated Systems

Hetuluka may use AI and automated systems for:

• Tutoring;

• Recommendations;

• Personalization;

• Assessment;

• Grading;

• Feedback;

• Support;

• Moderation;

• Security;

• Fraud prevention; and

• Other services.

AI outputs may be inaccurate, incomplete, biased or outdated.

You should independently evaluate important information and should not rely solely on AI for high-impact academic, professional, legal, financial or medical decisions.

AI features may change or be discontinued.

13. Certificates & Credentials

Hetuluka may issue:

• Completion certificates;

• Participation certificates;

• Assessment credentials;

• Skill credentials;

• Achievement credentials; and

• Other service-specific credentials.

Requirements may include:

• Course completion;

• Attendance;

• Assessment;

• Payment;

• Academic integrity; or

• Other disclosed conditions.

Certificates may have unique Certificate IDs and online verification.

Hetuluka may correct, suspend, revoke or invalidate credentials where appropriate, including for fraud, misconduct, incorrect issuance or misrepresentation.

A certificate does not guarantee employment, admission, promotion, income, academic success or acceptance by any third party.

14. Intellectual Property

Hetuluka and its licensors own or control applicable rights in Hetuluka's proprietary platform content, including where applicable:

• Courses;

• Videos;

• Curriculum;

• Text;

• Graphics;

• Software;

• Interfaces;

• Logos;

• Trademarks;

• Assessments;

• Educational materials; and

• Other proprietary materials.

The existing Terms provide a limited personal, non-commercial license rather than transferring ownership.

You may use Hetuluka content only as permitted by the applicable service and these Terms.

Unless expressly authorized, you must not:

• Copy;

• Record;

• Republish;

• Resell;

• Distribute;

• Scrape;

• Reverse engineer;

• Circumvent technical protections;

• Create unauthorized derivative works; or

• Commercially exploit Hetuluka content.

15. Prohibited Conduct

You must not use Hetuluka to:

• Break the law;

• Defraud others;

• Harass or threaten others;

• Upload unlawful or harmful material;

• Infringe intellectual-property rights;

• Impersonate another person;

• Share accounts;

• Circumvent access controls;

• Hack systems;

• Introduce malware;

• Scrape without authorization;

• Conduct unauthorized security testing;

• Disrupt services;

• Abuse APIs;

• Bypass DRM or technical restrictions;

• Manipulate assessments or certificates;

• Engage in academic cheating; or

• Otherwise misuse the platform.

Hetuluka may take technical, contractual or legal action where appropriate.

16. Platform Availability

Hetuluka aims to provide reliable services but does not guarantee that the platform will always be:

• Available;

• Uninterrupted;

• Error-free;

• Secure;

• Compatible with every device; or

• Free from delays or technical problems.

Services may be affected by:

• Maintenance;

• Bugs;

• Network failures;

• Cloud/infrastructure failures;

• Power failures;

• Third-party service problems;

• Cyber incidents;

• Device/software problems; or

• Other circumstances.

We will make reasonable efforts to restore and improve services.

17. Third-Party Services

Hetuluka may depend on or integrate third-party services such as:

• Payment providers;

• Cloud providers;

• Video/CDN services;

• Authentication providers;

• Analytics services;

• Advertising services;

• App stores;

• Educational technology providers; and

• Other technology providers.

Third-party services may have separate terms, privacy policies and limitations.

Hetuluka does not control every third-party service and cannot guarantee its continued availability.

18. Payments

Payment terms may vary by:

• Course;

• Batch;

• Subscription;

• Service;

• User;

• Location;

• Currency; and

• Applicable offer.

Supported payment methods may vary.

Taxes, GST and applicable charges may apply.

Payment processing may involve third-party payment providers.

19. Refunds & Cancellations

Unless applicable law requires otherwise, Hetuluka generally does not provide refunds or cancellations for completed digital purchases.

An exception may apply where Hetuluka cancels a promised course, batch or service and cannot deliver the promised service.

Specific service terms may provide additional conditions.

The separate Cancellation, Refund & Payment Policy controls refund and cancellation matters.

20. Account Suspension & Termination

Hetuluka may temporarily or permanently:

• Suspend an account;

• Restrict features;

• Restrict course access;

• Restrict device/session access;

• Remove content;

• Suspend or invalidate certificates;

• Terminate an account; or

• Take other appropriate measures.

Reasons may include:

• Terms violations;

• Account sharing;

• Fraud;

• Security threats;

• Academic misconduct;

• Copyright infringement;

• Abuse or harassment;

• Payment problems;

• Legal requirements; or

• Other legitimate safety or operational reasons.

The existing Terms provide for suspension/termination and certificate invalidation for specified violations.

21. Effect of Termination

When access is terminated, you may lose access to:

• Courses;

• Subscriptions;

• Platform features;

• Communities;

• Mentorship;

• Certificates; or

• Other services.

Hetuluka may retain information where required or reasonably necessary for:

• Legal compliance;

• Tax/accounting;

• Academic records;

• Certificates;

• Security;

• Fraud prevention;

• Disputes; or

• Other legitimate purposes.

Termination does not automatically create a refund entitlement.

22. Reviews, Feedback & Public Content

Where you submit reviews, comments, feedback or other public content:

• You are responsible for what you submit;

• You must have necessary rights;

• Content must not be unlawful or abusive;

• Hetuluka may moderate or remove content;

• Public content may remain available after account deletion in anonymized form where appropriate.

Where promotional use of testimonials or similar content is permitted, Hetuluka will use an appropriate legal basis or permission where required.

23. API, Scraping & Programmatic Access

Programmatic access is permitted only where Hetuluka expressly authorizes it.

You must not:

• Scrape protected content;

• Bulk-extract data without authorization;

• Circumvent rate limits;

• Abuse APIs;

• Access unauthorized endpoints; or

• Use automated systems to bypass platform restrictions.

Separate API or developer terms may apply.

Hetuluka may impose quotas, limits or access restrictions.

24. Force Majeure

Hetuluka will not be responsible for delays or failures caused by circumstances beyond reasonable control, to the extent permitted by law.

These may include:

• Natural disasters;

• Network failures;

• Cloud failures;

• Power failures;

• Cyber incidents;

• Government restrictions;

• War;

• Terrorism;

• Civil unrest;

• Strikes;

• Epidemics/pandemics;

• Infrastructure failures; and

• Third-party service failures.

Where a promised service cannot be delivered, applicable course-specific commitments, refund rules or alternative arrangements may apply.

25. Educational Disclaimer

Hetuluka provides educational services and does not guarantee any particular:

• Grade;

• Examination result;

• Admission;

• Employment;

• Promotion;

• Income;

• Business result;

• Professional outcome; or

• Other personal or academic result,

unless an express written service commitment states otherwise.

Educational information should be considered in light of the user's own circumstances and applicable professional requirements.

26. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Hetuluka provides the platform and services on an "as available" and "as is" basis.

We do not guarantee that services will always be:

• Available;

• Accurate;

• Complete;

• Uninterrupted;

• Error-free;

• Secure;

• Compatible with every device; or

• Free from harmful technical issues.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Hetuluka will not be liable for indirect, incidental, special, consequential, exemplary or similar losses arising from use of the platform.

Where legally permitted, Hetuluka's aggregate liability may be limited to the amount actually paid by the affected user for the relevant service giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded.

Different written agreements may contain different liability provisions.

28. Indemnification

To the extent permitted by applicable law, you may be responsible for losses, claims, liabilities, costs or reasonable expenses arising from:

• Your unlawful use of Hetuluka;

• Your violation of these Terms;

• Your unauthorized content;

• Your infringement of third-party rights;

• Your misuse of the platform; or

• Your breach of applicable law.

Different indemnification terms may apply to educators organizations, partners or other contracted parties.

29. Changes to These Terms

Hetuluka may update these Terms when:

• Services change;

• Laws change;

• New features are introduced;

• Security requirements change; or

• Business operations evolve.

Updated Terms will be published with a new Effective Date.

Where appropriate or legally required, additional notice may be provided.

30. Governing Law & Dispute Resolution

These Terms are primarily intended to be governed by the laws of India, subject to mandatory rights and laws applicable to the user.

Where legally permitted:

1. Users should first contact Hetuluka to attempt good-faith resolution.

2. Formal grievance escalation may be used where appropriate.

3. Arbitrable disputes may be referred to arbitration under applicable Indian law.

4. Non-arbitrable matters may be brought before courts or authorities having appropriate jurisdiction in Assam, India.

5. Mandatory consumer, privacy or other statutory rights are not intended to be waived.

Specific written agreements may contain additional or different dispute-resolution provisions.

31. Electronic Acceptance & Records

You may accept these Terms electronically through:

• Website;

• App;

• LMS;

• Checkout;

• Registration;

• Checkbox/click acceptance; or

• Continued use where legally sufficient.

Hetuluka may maintain electronic records relating to:

• Acceptance;

• Accounts;

• Transactions;

• Enrollments;

• Course activity;

• Security;

• Communications; and

• Other relevant platform activity.

Such records may be retained as reasonably necessary for legal, operational, security, academic and evidentiary purposes.

32. Legal Rights

Nothing in these Terms is intended to:

• Exclude rights that cannot legally be excluded;

• Prevent lawful regulatory complaints;

• Override mandatory consumer protections;

• Prevent exercise of statutory privacy rights; or

• Limit liability that cannot legally be limited.

If any provision is found unenforceable, the remaining provisions will continue to the extent permitted by law.
